This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder. It does not require any physical or digital signatures.

THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (hereinafter “You” or “Your”) AND Eminence Infotech Pvt. Ltd. (hereinafter “Eminence Infotech”) GOVERNING YOUR USE OF THE Smart Field APPLICATION AND SERVICES.

1. Acceptance of the Terms

You must be of legal age to enter into a binding agreement in order to accept the Terms. If you do not agree to the General Terms, do not use any of our Services. By using our Services, you are agreeing to these Terms.

2. Description of Service

We provide an array of services for online collaboration and management including but not limited to Sales Force Automation, Field Staff Tracking, Service Management, and Distributor Management System ("Service" or "Services"). You may use the Services for your personal or internal business purposes. You are responsible for obtaining Internet access and necessary equipment to use the Services.

3. User Sign-Up Obligations

To use the Services, you must sign up for a user account by providing accurate and up-to-date information. If the information you provide is inaccurate or incomplete, Eminence Infotech reserves the right to terminate your account.

4. Organization Accounts and Administrators

If you represent an organization, you may designate administrators for your organization’s account. These administrators will manage your use of the Services and must ensure that all activities in the organization account comply with the Terms. You are responsible for maintaining the security and confidentiality of administrator accounts.

5. Personal Information and Privacy

Your personal information provided to Eminence Infotech is governed by our Privacy Policy. It is your responsibility to keep your account credentials secure, and we are not liable for any loss or damage resulting from unauthorized access to your account.

6. Modification of Terms of Service

We may modify these Terms at any time with reasonable notice. If you continue to use the Service after modifications, it indicates your acceptance of the revised Terms. If the changes significantly affect your rights, we will provide at least 30 days’ advance notice.

7. Fees and Payments

Services may be available under subscription plans. Any changes in fees will not apply until the end of your current billing cycle. You will not be charged for any service unless you subscribe to a paid plan.

8. User Conduct

You agree to use the Services only for lawful purposes and refrain from activities that violate any third-party rights, spread harmful or illegal content, or engage in spamming or unauthorized communication.

9. Inactive Accounts Policy

We may terminate unpaid accounts that are inactive for a continuous period of 90 days. We will notify you before termination, providing you with the opportunity to back up your data.

10. Data Ownership

You retain ownership of any content created or stored by you. Unless explicitly permitted, Eminence Infotech does not have the license to use, publish, or modify your content. We will only access and handle your data to provide the Services.

11. Disclaimer of Warranties

The Services are provided "as-is" and "as-available." Eminence Infotech disclaims all warranties of any kind, whether express or implied. We do not guarantee the Service will be uninterrupted, timely, or error-free.

12. Limitation of Liability

Eminence Infotech shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Services.

13. Indemnification

You agree to indemnify and hold Eminence Infotech harmless from any claims or damages arising out of your use of the Services or violation of these Terms.

14. Termination of Services

We may suspend or terminate your access to the Services if you violate the Terms or engage in any activity that we deem harmful or unlawful. Upon termination, your right to use the Services ceases immediately, and we will have no obligation to maintain your account or data.

15. Jurisdiction

These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in Indore, India.

16. Force Majeure

Eminence Infotech shall not be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, and other unforeseen events.

17. Amendments

We reserve the right to modify these Terms at any time. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.
